1. Introduction

These Terms of Service (“Terms”) govern your use of the CyberZonic website at cyberzonic.com and all services provided by CYBERZONIC LIMITED, a company registered in England and Wales (“CyberZonic”, “we”, “us”, “our”).

By accessing our website or using our services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our services. We recommend you print or save a copy of these Terms for future reference.

2. Services

CyberZonic provides enterprise technology company, security delivery, advisory support, and supporting digital delivery services. Our services include:

• enterprise technology company, advisory, and managed security services.
• Structured website, platform, and content delivery engagements supported by CyberZonic's internal delivery systems and governed project workflows.
• Security operations centre (SOC) support and threat intelligence services.
• ISO 27001, Cyber Essentials, and compliance readiness programmes.
• Microsoft security platform deployment and configuration.

Services are provided on a project basis as agreed in individual project briefs, statements of work, or engagement letters. These Terms govern the general use of our platform and website; specific service terms may be set out in separate engagement documents.

3. User Obligations

When using our website and services, you agree to:

• Provide accurate, complete, and truthful information in all communications and submissions.
• Not misuse our platform for any unlawful, harmful, or fraudulent purpose.
• Not attempt to gain unauthorised access to any part of our platform, our systems, or the systems of other users or third parties.
• Not submit malicious, harmful, or offensive content through any form or channel on our website.
• Not use our services to facilitate any activity that constitutes a criminal offence or violates applicable law.
• Comply with all applicable laws and regulations in your use of our services.

4. Intellectual Property

CyberZonic retains all intellectual property rights in its platform, tools, methodologies, frameworks, delivery systems, and the VAST Agent system. This includes all software, code, algorithms, interfaces, and documentation that form part of our platform.

Where CyberZonic builds a website, application, or system for a customer through the VAST Agent platform, the specific deliverables (the generated pages, content, and configuration files) are owned by the customer upon receipt of full payment for that project. The underlying CyberZonic platform, frameworks, tools, and methodologies used to generate those deliverables remain the exclusive property of CyberZonic.

You grant CyberZonic a licence to use materials, content, and information you provide (such as project briefs) solely for the purpose of delivering the services you have requested.

5. Assisted Workflow Outputs

Some internal delivery workflows used by CyberZonic may incorporate assisted generation or analysis. CyberZonic applies quality assurance processes to review outputs from those workflows, but we do not guarantee that all machine-assisted outputs are entirely accurate, complete, or error-free.

Customers should review all deliverables before use or deployment. Where machine-assisted output contains factual inaccuracies or requires amendment, we will work with you to correct them as part of the engagement.

The responsibility for the final use and deployment of any deliverable remains with the customer.

6. Limitation of Liability

To the maximum extent permitted by applicable law, CyberZonic's total liability to you arising out of or in connection with these Terms or any services provided shall be limited to the total fees paid by you to CyberZonic for the specific service giving rise to the claim in the twelve months preceding the claim.

CyberZonic is not liable for any indirect, consequential, incidental, special, or punitive damages, including but not limited to loss of profits, loss of data, loss of business, or loss of reputation, even if CyberZonic has been advised of the possibility of such damages.

Nothing in these Terms excludes or limits CyberZonic's liability for:

• Death or personal injury caused by CyberZonic's negligence.
• Fraud or fraudulent misrepresentation.
• Any other liability that cannot be excluded or limited by applicable law.

7. Payment Terms

Fees for services are as agreed in individual project engagements. Unless otherwise agreed in writing:

• Invoices are payable within 30 days of the invoice date.
• Late payments may attract interest at 8% per annum above the Bank of England base rate under the Late Payment of Commercial Debts (Interest) Act 1998.
• CyberZonic reserves the right to suspend services for invoices outstanding beyond 45 days.

8. Termination

Either party may terminate an engagement by providing 30 days' written notice, subject to any specific termination provisions in the relevant engagement letter or statement of work.

CyberZonic may suspend or terminate your access to our platform immediately and without notice if you breach these Terms, engage in unlawful activity, or create risk or legal liability for CyberZonic or other users.

Upon termination, any outstanding fees for work completed become immediately payable. Provisions relating to intellectual property, liability, and governing law shall survive termination.

9. Data Protection

CyberZonic processes personal data in accordance with UK GDPR and the Data Protection Act 2018. Please refer to our Privacy Policy for full details of how we collect, use, and protect your personal data, and your rights as a data subject.

10. Governing Law

These Terms and any dispute or claim arising out of or in connection with them (including non-contractual disputes or claims) are governed by and construed in accordance with the laws of England and Wales.

You and CyberZonic agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.

11. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the “Last updated” date at the top of this page. Your continued use of our website or services after any changes constitutes your acceptance of the updated Terms.
